Islamabad, December 31, 2025: In a landmark development for Pakistan’s telecom industry ahead of the upcoming 5G spectrum auction, Pakistan Telecommunication Company Limited (PTCL) has officially taken over the management of Telenor Pakistan after completing the acquisition of 100% shares of Telenor Pakistan and Orion Towers.
The announcement was made during a press conference in Islamabad by Hatem Bamatraf, President and CEO of PTCL and Ufone 4G. He said the completion of the acquisition signals the start of a new era of digital empowerment and transformative change across the country. “From today, Telenor Pakistan and Orion Towers will operate as fully owned subsidiaries of PTCL. During the interim period, Telenor Pakistan will continue to function as a separate legal entity. Following the necessary regulatory approvals, PTML (Ufone 4G) and Telenor Pakistan will be merged into a single integrated entity in the future,” he added.
Hatem Bamatraf described the acquisition as a proud moment for PTCL and a major milestone for Pakistan’s telecom sector, emphasizing that the combined entity will focus on providing seamless, high-quality services to customers, and after regulatory approvals, leverage its combined capabilities to enhance user experience nationwide.
The merger will enable the new entity to expand network capacity, optimize spectrum resources, and deliver secure, integrated, and digitally advanced services aligned with Pakistan’s digital ambitions.
Speaking on the upcoming 5G rollout, Hatem Bamatraf said PTCL is fully committed to participating in the 5G spectrum auction and promised that the public will soon experience a revolutionary telecom experience.
Naveed Khalid Butt, highlighting regulatory steps, said the company will approach PTA for merger approval, and the integration process is expected to take six to seven months. Hatem Bamatraf also confirmed that PTCL would make prompt progress on clearing outstanding payments related to the acquisition.
This development positions PTCL as a major driver of digital transformation in Pakistan, setting the stage for enhanced connectivity, improved services, and accelerated deployment of next-generation technologies, including 5G.
